Terms of Service

These Terms of Service ("Terms") govern access to and use of Vaulte and related websites, applications, documentation, services, communications, and product features provided by Ensii, LLC ("Ensii," "we," "us," or "our").
By creating an account, accessing Vaulte, using Vaulte, clicking to accept these Terms, or using any related service, you agree to these Terms.
If you use Vaulte on behalf of a business, organization, host location, professional workspace, company, or other legal entity, you represent that you have authority to bind that entity to these Terms. In that case, "you" and "your" refer to both you and the entity you represent.
If you do not agree to these Terms, do not use Vaulte.
1. What Vaulte is
Vaulte is a software platform for independent professionals and the organizations that host, support, manage, or work with them.
Vaulte may include tools for professional workspaces, organization and host-business accounts, customer and client records, services and offerings, scheduling and availability, appointments, checkout and transaction records, inventory and retail records, professional profiles, host-business profiles, marketplace, professional-network, or discovery features, messages, interest workflows, affiliation workflows, documents, agreements, electronic acceptance workflows, reporting, operational records, and administrative tools.
Vaulte is a software service. We do not provide professional services, legal advice, tax advice, accounting advice, medical advice, employment advice, payment-processing services directly, banking services, insurance services, or business licensing services.
2. Eligibility
You may use Vaulte only if you can enter into a binding legal agreement.
Vaulte is not intended for minors under 16. You may not create an account or use Vaulte if you are under 16.
If you use Vaulte on behalf of a business, organization, host location, or professional workspace, you represent that you have authority to act for that business or organization, the information you provide is accurate, your use of Vaulte complies with laws that apply to you, your business, your customers, and your location, and you will keep account, organization, and payment information current.
3. U.S. focus
Vaulte is intended for use in the United States at launch.
We do not actively market Vaulte for use outside the United States, but we do not block access from every non-U.S. location.
If you access or use Vaulte from outside the United States, you are responsible for determining whether Vaulte is appropriate for your location and whether your use complies with applicable local, regional, national, industry, licensing, tax, consumer-protection, employment, contractor, and privacy laws.
Ensii may restrict, suspend, or decline to support use in jurisdictions where Vaulte is not designed, approved, or legally supported.
4. Accounts and authentication
You may need an account to use Vaulte.
Vaulte uses Microsoft Entra for identity and authentication. Microsoft Entra may help authenticate users, manage access, enforce policies, support login, detect unauthorized access, and protect accounts.
You are responsible for keeping your login credentials secure, maintaining accurate account information, controlling access to your devices, using appropriate account permissions, promptly notifying us of suspected unauthorized access, and all activity that occurs under your account unless caused by our failure to use reasonable security practices.
We may suspend or restrict access if we believe an account has been compromised, misused, or used in violation of these Terms.
5. Account roles and authority
Vaulte may support different roles, including professionals, organization owners, host-business owners, administrators, staff, contractors, customers, clients, or invited users.
You are responsible for assigning roles carefully. If you grant another person access to your workspace, organization, location, records, or account, you are responsible for that person's use of the access you granted.
Ensii may rely on account roles, permissions, workspace relationships, organization relationships, authentication status, and product records to determine what a user can access or do.
6. Professional workspaces
A professional workspace is the operating space for an independent professional or professional business.
A professional workspace may include customers, clients, services, appointments, notes, pricing, availability, transaction records, inventory, portfolio content, certifications, business preferences, professional-network profile information, and related records.
Unless a separate written agreement says otherwise, the professional workspace is responsible for the accuracy of its records, the services it offers, the prices it sets, customer and client relationships, scheduling rules, customer communications, service delivery, refunds, disputes, customer service obligations, licenses, certifications, taxes, business compliance, and the legality of information entered into Vaulte.
Vaulte helps organize and process records. Vaulte does not decide whether a professional is licensed, qualified, insured, certified, compliant, or legally allowed to provide a service.
7. Organizations and host businesses
Vaulte may allow businesses, organizations, host locations, studios, salons, gyms, shops, or similar spaces to create organization or host-business accounts.
Organization and host-business accounts may include location records, capacity records, hosted professional relationships, staff and administrator accounts, listings, policies, affiliation records, terms, operational notes, business identification numbers, and related information.
Organizations and host businesses are responsible for their locations and operations, listings and public-facing statements, agreements with professionals, compliance with business, tax, employment, contractor, licensing, safety, zoning, and industry rules, treatment of professionals, staff, contractors, customers, and clients, and use of any customer, professional, or organization data entered into Vaulte.
Vaulte does not determine whether a professional is an employee, independent contractor, renter, tenant, licensee, partner, agent, or other legal classification. Users are responsible for properly classifying their relationships and complying with applicable law.
8. Professional and host-business relationships
Vaulte may support relationships between professional workspaces and host businesses. These relationships may include interest workflows, messages, introductions, affiliation requests, availability of space, location terms, host rules, documents, signatures, payments, or other operational records.
Unless Ensii expressly agrees otherwise in writing, Ensii is not a party to agreements between professionals and host businesses, does not guarantee that a professional and host business are a good fit, does not verify every statement made by a professional or host business, and does not guarantee that an affiliation, rental, contractor, or host relationship will be lawful, profitable, compliant, or successful.
Users are responsible for reviewing and understanding any agreement they enter.
9. Customer and client records
Vaulte may allow professionals and organizations to store records about customers or clients.
Users are responsible for having the right to enter customer or client information into Vaulte, providing any required notices, obtaining any required consents, keeping customer or client records accurate where required, using customer or client records lawfully, responding to customer or client requests where the user controls the relevant record, and avoiding entry of unnecessary sensitive information.
Vaulte is not designed to store protected health information, medical records, biometric data, personal government IDs, or health-related notes. You must not enter that information unless Ensii has expressly agreed in writing to support that use case.
10. Controller and processor responsibilities
This section is intended to clarify responsibility for data entered into Vaulte. More detailed data-processing terms may be added in a separate agreement, business agreement, or customer contract.
When Ensii collects information directly from website visitors, account holders, prospective users, support contacts, or product users for Ensii's own business purposes, Ensii generally acts as the controller or business for that information.
When a professional workspace, organization, host business, or other customer uses Vaulte to store or process information about its own customers, clients, staff, contractors, business contacts, or service recipients, that professional workspace, organization, or host business generally decides why and how that information is used. In that context, Ensii generally acts as a processor or service provider that processes information on behalf of the professional workspace, organization, or host business.
Users are responsible for determining whether they are a controller, business, processor, service provider, or other regulated party under applicable law, providing required privacy notices, obtaining required permissions, responding to privacy rights requests when they control the relevant information, and ensuring their use of Vaulte complies with privacy, consumer-protection, employment, contractor, tax, licensing, and industry laws that apply to them.
Ensii may process information for its own legitimate business purposes, including account administration, platform security, fraud prevention, billing, legal compliance, service improvement, support, analytics based on first-party operational records, and enforcement of agreements.
11. Privacy
Your use of Vaulte is also governed by our Privacy Policy.
The Privacy Policy explains how we collect, use, disclose, retain, and protect personal information.
If there is a conflict between these Terms and the Privacy Policy about privacy-specific practices, the Privacy Policy controls for that privacy-specific issue unless a separate written agreement says otherwise.
12. Payments, Stripe, and platform fees
Vaulte may support checkout, payments, transaction records, payouts, fees, refunds, disputes, payment-status tracking, invoices, receipts, and related financial workflows.
Vaulte uses Stripe as its current payment processor.
By using payment features, you agree that Stripe may process payment, transaction, payout, fraud-prevention, and related financial information; Stripe's terms, agreements, and policies may apply to your use of payment features; you may need to create, connect, or maintain a Stripe account; Stripe may approve, reject, suspend, restrict, hold, or terminate payment processing according to Stripe's own rules; and Ensii is not responsible for Stripe's acts, omissions, decisions, downtime, holds, reserves, account restrictions, or payment-processing determinations.
Vaulte may charge a platform fee on transactions processed through the platform. For standard U.S. card transactions, Vaulte's platform fee plus Stripe's standard transaction processing fee will not exceed 3% of the transaction amount plus $0.30. Chargeback fees, dispute fees, international card fees, currency-conversion fees, manually entered card fees, instant-payout fees, taxes, and other third-party or optional fees are excluded from this cap unless we expressly state otherwise.
Stripe fees and Vaulte platform fees may be deducted from transaction proceeds, charged to a connected Stripe account, or collected through another supported billing method.
If you are a professional, organization, or other user accepting payments through Vaulte, you are responsible for the goods or services you sell, properly describing those goods or services, delivering the goods or services, customer service, refunds, chargebacks, disputes, taxes, receipts, required notices and consents, and compliance with payment-network rules, Stripe terms, and applicable law.
Ensii may receive payment metadata from Stripe, including transaction identifiers, payment status, payout status, account identifiers, refund information, dispute information, and related records.
13. Subscriptions, billing, fees, and taxes
Vaulte offers subscription-based services.
Some features may also be free, usage-based, transaction-based, plan-based, or subject to separate pricing.
We may charge fees for account plans, workspace plans, organization plans, premium features, payment-related platform fees, marketplace or network features, document or agreement workflows, usage-based services, add-ons, support or professional services, and other paid services disclosed at the time of purchase or activation.
You agree to pay all fees you authorize or incur.
Subscription terms, renewal periods, cancellation methods, billing frequency, and billing amounts will be disclosed in the applicable purchase flow, order form, plan page, or written agreement.
Unless otherwise stated, fees are in U.S. dollars, subscription fees are charged in advance for the applicable billing period, transaction and platform fees may be charged when transactions are processed, fees are non-refundable except where required by law or expressly stated in writing, you are responsible for applicable taxes, we may change pricing prospectively, we may suspend or limit access for unpaid amounts, and you remain responsible for charges incurred before cancellation, suspension, or termination.
If you cancel a subscription, cancellation will stop future renewal charges but will not automatically refund fees already paid unless required by law or expressly stated in writing.
We may offer trials, promotional pricing, credits, or discounts. Trial, promotional, credit, or discount terms may be modified, withdrawn, or limited unless a written agreement says otherwise.
14. Refunds and customer disputes
Ensii is not responsible for refunds owed by professionals, organizations, host businesses, or other users to their own customers or clients.
Refunds between a user and that user's customer or client are the responsibility of that user.
Professionals and organizations are responsible for their refund policies, cancellation policies, service disputes, product disputes, customer complaints, chargebacks, consumer-protection compliance, and any required disclosures to customers or clients.
Ensii may provide software tools for recording refunds, cancellations, notes, disputes, or transaction statuses, but those tools do not transfer the underlying responsibility to Ensii.
Vaulte subscription fees and Vaulte platform fees are separate from refunds owed by users to their customers or clients.
15. Scheduling, appointments, and availability
Vaulte may provide scheduling, appointment, availability, calendar, blocked-time, and booking tools.
Users are responsible for keeping availability accurate, honoring appointments they accept, communicating cancellation or rescheduling requirements, setting service durations and prices accurately, complying with customer-facing scheduling promises, and complying with host-business, location, or organization rules.
Vaulte may help enforce scheduling rules, but Ensii does not guarantee that every scheduling conflict, double-booking, missed appointment, no-show, cancellation, or user error will be prevented.
16. Inventory and retail records
Vaulte may include inventory and retail features.
Users are responsible for product records, stock counts, inventory adjustments, retail prices, product descriptions, product compliance, sales tax, product safety, supplier and vendor obligations, refunds, returns, and customer support.
Inventory records are only as accurate as the information entered by users or connected systems.
17. Professional certifications and business information
Vaulte may allow users to submit professional certifications, licenses, credentials, business identification numbers, tax identifiers, or similar information.
You represent that any certification, credential, license, business identifier, tax identifier, or similar information you submit is accurate and belongs to you or the business you are authorized to represent.
Unless we expressly state otherwise, Ensii does not independently verify every certification, license, credential, business identifier, or representation made by users.
We may remove, restrict, or flag information that appears inaccurate, misleading, fraudulent, unlawful, expired, or inconsistent with these Terms.
18. Marketplace, network, listings, and discovery features
Vaulte may include marketplace, professional-network, discovery, listing, profile, interest, message, or affiliation features.
If you use these features, you are responsible for the accuracy and legality of your profile, listing, messages, availability, images, services, pricing, credentials, descriptions, and other content.
You agree not to use marketplace, network, or discovery features to misrepresent yourself, your business, your credentials, your location, or your services; harass, spam, threaten, or deceive others; scrape, harvest, or misuse user information; circumvent Vaulte workflows; send unlawful, misleading, or abusive messages; publish discriminatory, defamatory, obscene, infringing, or unlawful content; or interfere with another user's business relationships.
Ensii may remove, rank, restrict, suspend, or moderate listings, profiles, messages, or network access to protect users, enforce these Terms, operate the service, or comply with law.
Ensii does not guarantee introductions, leads, bookings, income, affiliations, hires, placement, workspace availability, or business results.
19. Electronic communications, acceptance, and signatures
You agree that Ensii may communicate with you electronically, including by email, in-app notice, account notice, product notification, or website notice.
Electronic communications may include legal notices, account notices, payment notices, policy updates, support communications, and transactional messages.
Vaulte may allow users to accept terms, approve workflows, sign documents, or complete agreement-related steps electronically through DigiCert-powered document signature workflows or other supported third-party signature services.
You agree that electronic signatures, electronic acceptances, checkbox acceptances, click-through acceptances, typed names, audit logs, timestamps, and similar electronic records may be used to show consent, approval, authorization, or agreement, where permitted by law.
DigiCert or another supported signature provider may process signer identity, document, certificate, audit, timestamp, and signature-related information according to its own terms and privacy practices.
Users are responsible for reviewing any document, agreement, policy, affiliation term, or electronic record before accepting or signing it.
Ensii is not a law firm and does not provide legal advice about whether a document, signature, affiliation term, contractor arrangement, rental arrangement, employment classification, or business agreement is valid or appropriate.
20. User content
"User Content" means information, records, text, images, files, documents, profile content, listings, messages, notes, service descriptions, pricing, inventory records, customer records, appointment records, feedback, and other content submitted to Vaulte by users.
You retain ownership of your User Content, subject to the rights granted in these Terms.
You grant Ensii a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, copy, modify, format, analyze, and use User Content as reasonably necessary to provide Vaulte, operate product features, maintain accounts and workspaces, process transactions, provide support, improve and secure the service, comply with law, enforce agreements, and prevent fraud, abuse, or security incidents.
You represent that you have all rights necessary to submit User Content and grant this license.
You are responsible for User Content you submit or authorize others to submit.
21. Feedback
If you provide ideas, suggestions, feedback, requests, comments, or recommendations about Vaulte, you grant Ensii the right to use that feedback without restriction or compensation.
We may use feedback to improve products, develop features, fix issues, create documentation, train staff, or support business decisions.
22. Ensii intellectual property
Vaulte, Ensii, our software, website, documentation, designs, interfaces, logos, trademarks, service marks, graphics, workflows, databases, code, content, and product names are owned by Ensii or its licensors.
These Terms do not transfer ownership of Ensii intellectual property to you.
You may not copy, modify, reverse engineer, decompile, disassemble, sell, sublicense, rent, lease, distribute, scrape, or create derivative works from Vaulte except as expressly permitted by law or written agreement.
You may not use Ensii or Vaulte names, logos, marks, or branding without our prior written permission.
23. Acceptable Use Policy
Your use of Vaulte must comply with our Acceptable Use Policy.
The Acceptable Use Policy is incorporated into these Terms by reference.
We may update the Acceptable Use Policy from time to time. If we make material changes, we may provide notice through the website, application, account notice, email, or another reasonable method.
We may suspend, restrict, or terminate access if we believe you have violated the Acceptable Use Policy.
24. Third-party services
Vaulte may interoperate with third-party services, including Microsoft Entra, Stripe, DigiCert, hosting providers, email providers, notification providers, calendar tools, or other integrations.
Third-party services are governed by their own terms and privacy policies.
Ensii is not responsible for third-party services, including their availability, security, errors, decisions, fees, account restrictions, policy changes, downtime, or data practices.
You are responsible for complying with third-party terms that apply to your use of those services.
25. Beta, preview, and early-access features
Vaulte may include beta, preview, experimental, early-access, or limited-release features.
These features may be incomplete, unstable, changed, suspended, or discontinued at any time.
Beta or early-access features are provided for evaluation and may not be suitable for production use unless we state otherwise.
We may use feedback and usage information from beta or early-access features to improve Vaulte.
26. Service changes and availability
We may modify, suspend, discontinue, replace, or limit any part of Vaulte at any time.
We may update features, user interfaces, workflows, documentation, APIs, integrations, pricing, or availability.
We do not guarantee that Vaulte will be uninterrupted, error-free, secure, or available at all times.
We are not responsible for downtime, data delays, failures, or losses caused by internet or hosting failures, third-party provider issues, Stripe, Microsoft, DigiCert, or other integration issues, user error, unauthorized access caused by compromised credentials, force majeure events, maintenance, legal or regulatory restrictions, or security incidents outside our reasonable control.
27. Suspension and termination
You may stop using Vaulte at any time.
We may suspend, restrict, or terminate your access to Vaulte if you violate these Terms, fail to pay amounts owed, create security, legal, financial, reputational, or operational risk, if we suspect fraud, abuse, unauthorized access, or unlawful activity, if a payment provider, identity provider, regulator, court, or law enforcement authority requires or recommends action, if your use is inconsistent with Vaulte's intended use, or if continuing service is no longer commercially, legally, or technically feasible.
Termination or suspension does not eliminate obligations incurred before termination, including payment obligations, customer obligations, legal obligations, tax obligations, refund obligations, dispute obligations, confidentiality obligations, or restrictions on misuse of the service.
28. Data after termination
After termination, we may retain information as described in our Privacy Policy and as needed to comply with law, maintain business records, complete transactions, process refunds, chargebacks, disputes, or payouts, preserve audit logs, prevent fraud or abuse, resolve disputes, enforce agreements, and maintain backups for a limited period.
We may delete, archive, de-identify, or aggregate information according to our retention practices.
Users are responsible for exporting information they need before closing an account, where export functionality is available.
29. No professional advice
Vaulte may help organize business records and workflows, but Ensii does not provide legal, tax, accounting, financial, medical, insurance, employment, contractor-classification, licensing, or professional advice.
You should consult qualified professionals for advice specific to your situation.
No information in Vaulte, product documentation, support communications, templates, workflows, or examples should be treated as legal, tax, accounting, financial, medical, insurance, employment, or licensing advice.
30. No guarantee of business results
Ensii does not guarantee that Vaulte will increase revenue, attract customers, generate bookings, secure professional opportunities, reduce costs, ensure compliance, prevent disputes, avoid chargebacks, or produce any particular business result.
You are responsible for your business decisions and outcomes.
31. Disclaimers
Vaulte is provided "as is" and "as available."
To the fullest extent permitted by law, Ensii disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted service, accuracy, security, reliability, availability, and error-free operation.
We do not warrant that Vaulte will meet your requirements, be uninterrupted, timely, secure, or error-free, that data will always be accurate, complete, or current, that defects will be corrected, that third-party services will remain available, that integrations will continue working, or that Vaulte will comply with laws that apply specifically to your business, industry, location, customers, or services.
Some jurisdictions do not allow certain disclaimers, so some disclaimers may not apply to you.
32. Limitation of liability
To the fullest extent permitted by law, Ensii and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, including lost profits, lost revenue, lost business, lost goodwill, lost data, service interruption, business interruption, cost of substitute services, or reputational harm.
To the fullest extent permitted by law, Ensii's total liability for all claims arising out of or relating to these Terms or Vaulte will not exceed the greater of the amount you paid Ensii for Vaulte during the three months before the event giving rise to the claim or $100.
The limitations in this section apply regardless of legal theory, whether based on contract, tort, negligence, strict liability, warranty, statute, or otherwise, even if Ensii has been advised of the possibility of damages.
Some jurisdictions do not allow certain liability limitations, so some limitations may not apply to you.
33. Indemnification
You agree to defend, indemnify, and hold harmless Ensii and its owners, officers, directors, employees, contractors, agents, affiliates, licensors, and service providers from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or relating to your use of Vaulte, User Content, business, services, products, customers, clients, staff, contractors, locations, violation of these Terms, violation of law, violation of third-party rights, misuse of customer or client information, payment, refund, tax, chargeback, or consumer obligations, relationship with any professional, organization, host business, customer, client, contractor, employee, or third party, classification of workers, professionals, contractors, renters, tenants, or service providers, or use of marketplace, network, affiliation, document, scheduling, checkout, or payment features.
We may control the defense of any matter subject to indemnification, and you agree to cooperate with us.
34. Governing law
These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules.
35. Disputes and venue
Before filing a claim, you agree to contact us at contact@ensii.co and attempt to resolve the dispute informally.
If the dispute cannot be resolved informally, you agree that any legal action arising out of or relating to these Terms or Vaulte will be brought in the state or federal courts located in Georgia, unless applicable law requires a different venue.
You consent to the personal jurisdiction of those courts.
36. Changes to these Terms
We may update these Terms from time to time.
If we make material changes, we may provide notice by posting updated Terms, updating the "Last updated" date, sending email, displaying in-app notice, or using another reasonable method.
Your continued use of Vaulte after updated Terms become effective means you accept the updated Terms.
If you do not agree to updated Terms, you must stop using Vaulte.
37. Assignment
You may not assign or transfer these Terms without our prior written consent.
We may assign or transfer these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or by operation of law.
38. Severability
If any part of these Terms is found invalid or unenforceable, the remaining parts will remain in effect.
The invalid or unenforceable part will be interpreted or modified to the minimum extent necessary to make it valid and enforceable.
39. No waiver
Our failure to enforce any part of these Terms is not a waiver of our right to enforce that part later.
A waiver must be in writing and signed by Ensii to be effective.
40. Entire agreement
These Terms, together with the Privacy Policy, Acceptable Use Policy, and any applicable order form, written agreement, product-specific terms, or incorporated policy, form the entire agreement between you and Ensii regarding Vaulte.
If there is a conflict between these Terms and a separate written agreement signed or expressly accepted by Ensii, the separate written agreement controls to the extent of the conflict.
